Welcome to TvSubs.click ("Platform" or "Service"), an artificial intelligence-based video subtitling service owned and operated by Bezsoft LLC ("TvSubs", "we", "our" or "us"), with legal headquarters at 30 N Gould St Ste R Sheridan, WY 82801, United States.

These Terms of Service ("Terms") govern your access to and use of our Platform, including all content, features, and services offered. By using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms, please do not use our Service.

2. SERVICE DESCRIPTION

TvSubs.click provides AI-powered video subtitling services that allow users to generate, edit, and manage subtitles for various video content. Our Service offers both free and premium subscription plans with different features and capabilities.

3. USER ELIGIBILITY AND ACCOUNTS

3.1 Eligibility

To use our Service, you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater. By using our Service, you represent and warrant that you meet this requirement.

3.2 Account Registration

Some features of our Service require account registration. You are responsible for:

• Providing accurate and complete information during registration
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your devices. You agree to accept responsibility for all activities that occur under your account.

4. SUBSCRIPTION PLANS AND PAYMENT TERMS

4.1 Free and Paid Services

TvSubs.click offers both free and paid subscription options:

• Free users have access to basic features with certain limitations
• Paid subscribers receive additional features, increased usage limits, and premium support

4.2 Subscription and Billing

When purchasing a subscription:

• All prices are listed in US Dollars and do not include applicable taxes
• Your subscription will automatically renew at the end of each billing period unless canceled
• You authorize us to charge your payment method for each billing period
• Subscription fees are non-refundable except as specifically provided in these Terms

4.3 Credit System

Our Service operates on a credit-based system:

• Credits are allocated based on your subscription plan
• Credits may only be used to access features available on our Service
• Credits cannot be transferred, exchanged, or refunded for cash value
• Unused credits will expire as specified in your subscription plan details

4.4 Subscription Changes and Cancellation

You may upgrade, downgrade, or cancel your subscription at any time:

• Changes to subscription plans will take effect at the next billing cycle
• Cancellation will not provide a refund for the current billing period
• After cancellation, you will retain access to Premium Services until the end of your current billing period

4.5 Refund Policy

We offer refunds in the following limited circumstances:

• Technical issues on our end that prevent service usage despite reasonable troubleshooting efforts
• Unused credits remaining after 180 days (subject to verification)
• Subscription plan purchase errors if reported within 7 days of purchase

Refund requests must be submitted to support@tvsubs.click and will be reviewed on a case-by-case basis.

4.6 Price Changes

We reserve the right to change our prices at any time. If we change subscription prices, we will provide notice at least 30 days before the change takes effect.

5. ACCEPTABLE USE POLICY

5.1 Prohibited Activities

When using TvSubs.click, you agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to access any part of the Service or connected systems through hacking, scraping, or other unauthorized means
• Share your account credentials with others or use someone else's account
• Attempt to circumvent any technical measures we use to provide the Service

5.2 Content Restrictions

You agree not to use our Service to create content that:

• Violates intellectual property rights of third parties
• Contains defamatory, obscene, offensive, or threatening material
• Promotes discrimination, hatred, or violence against any individual or group
• Depicts minors in a sexualized manner or promotes exploitation of minors
• Contains adult content, nudity, or sexually explicit material
• Could be used to harass, bully, intimidate, or harm others
• Promotes dangerous behaviors, self-harm, suicide, or substance abuse
• Depicts or encourages cruelty or violence toward humans or animals
• Spreads misinformation that could cause public harm
• Creates unauthorized recordings of private conversations
• Could be used for identity theft, fraud, or deceptive practices
• Generates subtitles of confidential discussions without proper consent
• Attempts to replicate official documents or identification materials

5.3 Ethical Use Requirements

You agree to use our Service ethically and not to:

• Create content that may cause harm to individuals, groups, or society
• Use generated subtitles to deceive others or misrepresent facts
• Create content that exploits vulnerabilities in technology or social systems
• Generate content for political manipulation or electoral interference
• Create subtitles that could cause financial, reputational, or physical harm
• Use our Service for surveillance, unauthorized data collection, or privacy invasion
• Create content that promotes harmful ideologies or practices

5.4 Enforcement

We reserve the right, but not the obligation, to:

• Monitor use of the Service for compliance with these Terms
• Investigate potential violations of these Terms
• Remove any content that violates these Terms
• Terminate or suspend accounts for violations
• Report violations to law enforcement authorities when appropriate

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Our Intellectual Property

The Service, including its original content (excluding AI-generated subtitles created for users), features, and functionality, is owned by TvSubs and is protected by copyright, trademark, and other intellectual property laws.

6.2 License for Generated Content

TvSubs grants users the following rights to subtitles generated through our Service:

• Free Users: A non-exclusive, worldwide, royalty-free license to use generated subtitles for non-commercial purposes only
• Paid Users: A non-exclusive, worldwide, royalty-free license to use generated subtitles for both commercial and non-commercial purposes

6.3 Ownership of Generated Content

TvSubs makes no claim of ownership or copyright over AI-generated subtitles. However, all use must comply with these Terms and applicable laws.

6.4 User Content

By submitting content to our Service (including videos for subtitling):

• You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing and improving our Service
• You represent and warrant that you have all necessary rights to grant this license
• You retain all ownership rights to your original content

6.5 Attribution

While not required, we appreciate attribution to TvSubs.click when appropriate, such as:

• In print publications that include our subtitles
• For commercial products using our subtitles
• In digital content or social media posts featuring our subtitles

7. PRIVACY AND DATA SECURITY

7.1 Data Collection and Use

We collect and process personal data as described in our Privacy Policy. By using our Service, you consent to such processing and warrant that all data you provide is accurate.

7.2 Data Security

We implement appropriate technical and organizational measures to protect your personal data and content. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

7.3 Data Retention

We retain data as follows:

• Paid Subscribers: Private subtitles are stored during the subscription period and remain accessible until account deletion or subscription termination
• Free Users: Private subtitles are stored for 7 days and automatically deleted if not published
• All deletions of files, subtitles, accounts, and other assets are final and irreversible

7.4 Content Sharing

Your content and generated subtitles are private by default and shared only if you choose to publish or share them.

8. LIMITATION OF LIABILITY

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TVSUBS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TVSUBS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
• ANY CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR SUBSCRIPTION SERVICES IN THE PAST 12 MONTHS.

8.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the limitations in this section may not apply to you.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless TvSubs, its parent company, officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

10. TERM AND TERMINATION

10.1 Term

These Terms shall remain in full force and effect while you use the Service.

10.2 Termination by You

You may terminate your account at any time by following the instructions on our Platform or by contacting support@tvsubs.click.

10.3 Termination by Us

We may suspend or terminate your account and access to the Service at any time, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

10.4 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated content
• No refunds will be provided except as specified in our refund policy
• All provisions of these Terms which by their nature should survive termination shall survive

11. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. If changes are material, we will provide notice before the changes take effect. Your continued use of the Service after such notification constitutes your acceptance of the new Terms.

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wyoming, and the arbitration proceedings shall be conducted in English.

12.3 Class Action Waiver

Any proceedings to resolve disputes shall be conducted on an individual basis. Neither you nor we shall join, consolidate, or class arbitrate any dispute, and neither party shall seek to bring any dispute as a class action or representative proceeding.

12.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property rights, data security breaches, or unauthorized access to the Service.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms constitute the entire agreement between you and TvSubs regarding your use of the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

13.5 Force Majeure

TvSubs shall not be liable for any failure to perform its obligations if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, civil unrest, acts of terrorism, strikes, or failure of third-party services.
